Medical Services Brokerage Agreement

This Agreement sets out the terms on which Ocean Health & Travel Ltd ("OHT", "we", "us") provides non‑clinical coordination and brokerage services to the patient named in the Booking Confirmation ("Patient", "you").

1. Parties and Status

1.1 Ocean Health & Travel Ltd, 17 Green Lanes, London, N16 9BS, United Kingdom (Company No.: 16186647). We act as a medical travel coordinator/broker (non‑clinical). We are not a medical provider.

1.2 The treating clinic/hospital ("Clinic") is an independent provider responsible for all clinical assessments, decisions, and treatment.

2. Scope of Services

2.1 We arrange and coordinate: (a) introduction to Clinic(s) and transfer of your information with your consent; (b) Clinic consultation scheduling; (c) non‑medical logistics (hotel, local transfers, interpreter); (d) communication and documentation; and (e) coordination of post‑procedure check‑ins and, where appropriate, referrals to private aftercare providers in the UK.

2.2 Flights are not included. We do not provide medical advice, diagnosis, or clinical opinions. All clinical suitability and decisions rest solely with the Clinic.

3. Packages – What’s Included / Excluded

3.1 Included: as specified in your Package Schedule (e.g., Clinic consultation, procedure at partner facility, standard tests as per Clinic protocol, designated nights of hotel accommodation, ground transfers in Turkey, interpreter services).

3.2 Excluded: flights, UK GP/diagnostics, visas, travel insurance, personal expenses, additional nights beyond plan, additional procedures or revisions, treatment of complications beyond the scope set out by the Clinic, and any services not expressly listed as included.

4. Accreditation and Due Diligence

4.1 We partner with facilities holding verifiable accreditations (e.g., JCI/ISO). Accreditation varies by Clinic/hospital. Specific details will be provided in writing prior to booking.

4.2 You acknowledge that accreditations are held by the Clinic/hospital and not by OHT. We do not warrant clinical outcomes.

5. Data Protection

5.1 We process your personal data, including special category health data, under UK GDPR with your explicit consent. See our Privacy Policy for full details.

5.2 With your explicit consent, we will share necessary data with the Clinic and logistics suppliers (hotel, transfers, interpreters) to arrange your services. Data may be transferred to Turkey subject to contractual safeguards.

6. Payments and Client Money Protection

6.1 Deposits and prepayments are safeguarded via a segregated Trust Account. Details of the Trust provider and disbursement conditions are set out in your Booking Confirmation.

6.2 Payment Schedule: (a) Deposit to Trust on acceptance of Clinic provisional plan; (b) Balance(s) per milestones specified in the Package Schedule. Funds are released from Trust upon delivery triggers (e.g., confirmed hotel/transfer bookings; Clinic confirmation) as set out in Trust terms.

6.3 Prices and currencies are stated in your Package Schedule. Bank fees, FX charges, and taxes (if any) are the Patient’s responsibility unless stated otherwise.

7. Clinical Suitability and Pre‑operative Requirements

7.1 Clinical suitability is determined solely by the Clinic. You agree to provide accurate medical history and undergo required tests. The Clinic may amend or cancel the plan if you are not clinically suitable or if risks outweigh benefits.

7.2 If you are found not suitable before travel, refunds will follow Clause 10 subject to any non‑recoverable costs.

8. Changes and Substitutions

8.1 We may substitute equivalent suppliers (hotel, transfer, interpreter) where necessary. Any material change will be notified promptly. Clinic substitution will occur only with your consent, save for emergencies.

9. Aftercare and Complications

9.1 Post‑procedure, clinical management is led by the Clinic. We coordinate check‑ins and can facilitate referrals to private aftercare providers in the UK, where appropriate. Additional costs may apply.

9.2 Complications are managed by the Clinic according to medical judgment and your Clinic agreement. Revisions or additional care may require new consent and fees unless expressly included in your Package Schedule.

10. Cancellations, No‑Shows, and Refunds

10.1 You may cancel subject to the scale below (unless otherwise stated in your Package Schedule): (a) 30+ days before treatment date: Deposit minus non‑recoverable third‑party costs; (b) 15–29 days: up to 50% of Package price; (c) 8–14 days: up to 75%; (d) 0–7 days/no‑show: up to 100%.

10.2 If the Clinic cancels for clinical reasons before travel, you will receive a refund minus non‑recoverable third‑party costs. If cancellation occurs after travel due to your failure to disclose information or follow instructions, refunds may be reduced accordingly.

10.3 Force majeure (e.g., strikes, epidemics, extreme weather, governmental actions) may necessitate changes or cancellations. We will endeavour to minimise losses, but unrecoverable costs are your responsibility unless otherwise required by law.

11. Complaints and Dispute Resolution

11.1 Clinical complaints should be raised with the Clinic directly. We will assist with coordination and communications.

11.2 Non‑clinical complaints about our services: please email complaints@oceanhealthtravel.com. We acknowledge within 2 business days and aim to respond within 14 days. If unresolved, you may escalate to our nominated independent ADR provider.

12. Liability

12.1 We are not liable for clinical outcomes or clinical acts/omissions of the Clinic or any healthcare professional. Nothing in this Agreement limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

12.2 Subject to 12.1, our aggregate liability for non‑clinical losses arising from this Agreement shall not exceed the brokerage fee paid to us for the relevant booking.

13. Governing Law and Jurisdiction

13.1 This Agreement is governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, subject to any mandatory consumer protections that apply in your place of residence.

14. Entire Agreement and Miscellaneous

14.1 This Agreement, together with your Booking Confirmation and Package Schedule, constitutes the entire agreement between you and us regarding the services. If any provision is held invalid, the remaining provisions remain in effect. No waiver is effective unless in writing.
